FORMOSA EV / TERMS

Terms of Use

Last updated: October 31, 2026

By purchasing, installing, or using the Formosa EV Vehicle Control Unit (VCU) or its software, you agree to these terms. If you don't agree, don't install the product — contact us about a return.

In these terms, "we" and "us" means Formosa EV and its affiliates, officers, employees, and contractors. "You" means the installer and the vehicle owner; if they are different people, see Section 11 for how these terms apply to each of you. "Product" means the Formosa EV VCU, its firmware, software, and documentation.

1. Who This Product Is For

The Formosa EV VCU controls critical vehicle systems — motor control, battery management, and high-voltage operations. Improper installation or configuration can cause serious injury, death, fire, or property damage.

This product is intended for people who have completed EV conversion training or have equivalent hands-on experience with high-voltage systems. If you're ever unsure about any part of the installation, configuration, or calibration, stop and consult a qualified professional before continuing.

2. Off-Highway Use Only

The Formosa EV VCU is for off-highway use only. Do not use it in any vehicle driven on public roads or highways. You are responsible for making sure your converted vehicle complies with all laws and regulations that apply to you.

3. Safety Requirements

You agree to follow these rules, along with everything in the current version of the product documentation we provide with your purchase or publish on our site:

High-voltage safety. Use insulated tools, wear proper protective equipment (such as Class 0 gloves and a face shield), and work with one hand whenever possible.

System validation. Before applying high voltage, secure the vehicle so it cannot move and verify every connection and configuration setting.

Battery work. Separate cell segments with a maintenance disconnect plug before any work on the battery pack. Never work on the pack without proper isolation.

Firmware updates. Separate battery cell segments before any firmware or calibration update.

Know your limits. If you're unsure, get help from a professional or a reputable EV conversion resource before proceeding.

4. Configuration and Battery Data

The VCU may come pre-configured with battery data from third-party cell manufacturers. Treat this as a starting point only — it may not match your specific modules, especially used or repurposed cells. You are responsible for verifying and adjusting all settings for your application. We are not responsible for damage or injury caused by incorrect configuration, improper calibration, or incompatible components.

5. Software

We grant you a license to use the VCU's firmware and software with the product, installed in one vehicle. You may not copy, modify, resell, or reverse engineer the software except where the law says we can't stop you.

If you sell or transfer the vehicle the product is installed in, this license transfers automatically to the new owner, provided the new owner agrees to these terms. The license does not transfer to any other vehicle. We may terminate this license if you materially breach these terms.

6. Assumption of Risk and Release of Claims

WORKING ON HIGH-VOLTAGE SYSTEMS IS INHERENTLY DANGEROUS. RISKS INCLUDE ELECTRIC SHOCK, FIRE, BATTERY THERMAL RUNAWAY, UNINTENDED VEHICLE MOVEMENT, SERIOUS INJURY, AND DEATH. BY USING THIS PRODUCT, YOU KNOWINGLY AND VOLUNTARILY ACCEPT THESE RISKS.

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU RELEASE AND FOREVER DISCHARGE US FROM ANY AND ALL CLAIMS, DEMANDS, OR CAUSES OF ACTION ARISING FROM THE INSTALLATION, CONFIGURATION, OR USE OF THE PRODUCT, INCLUDING CLAIMS BASED ON OUR ORDINARY NEGLIGENCE. THIS RELEASE DOES NOT COVER CLAIMS ARISING FROM OUR GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR ANY LIABILITY THAT CANNOT BE LIMITED OR RELEASED UNDER APPLICABLE LAW.

RESPONSIBILITY FOR SAFE AND PROPER INSTALLATION IS YOURS.

7. No Warranties

THE PRODUCT IS PROVIDED "AS IS," WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

This disclaimer does not limit or replace any separate written warranty we provide with your purchase, if any. Some places don't allow these exclusions, so they may not fully apply to you.

8. Limit on Our Liability

TO THE FULLEST EXTENT THE LAW ALLOWS: (A) WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING LOSS OF DATA, LOSS OF REVENUE, OR VEHICLE DAMAGE — ARISING FROM THE USE OR INSTALLATION OF THE PRODUCT; AND (B) OUR TOTAL LIABILITY WILL NOT EXCEED WHAT YOU PAID FOR THE PRODUCT.

THESE LIMITS DO NOT APPLY TO DAMAGES CAUSED BY OUR GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR ANY LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

Some places don't allow these limits, so they may not fully apply to you.

9. Your Responsibility for Claims

If your installation, configuration, or use of the product — or your violation of these terms or the law — leads to a claim against us by anyone else, you agree to cover our resulting losses and costs, including reasonable attorneys' fees.

10. Dispute Resolution and Arbitration

Except for small claims court actions and disputes about intellectual property, you and we agree to resolve any dispute arising from these terms or the product through binding arbitration on an individual basis, administered by the American Arbitration Association under its consumer arbitration rules, rather than in court.

YOU AND WE EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE PROCEEDING. Arbitration will take place in the county where we are headquartered, or another location we agree to.

If the class-action waiver in this section is found unenforceable, the entire arbitration agreement in this section is void, and disputes will instead proceed in the courts of the state identified in Section 12.

11. General

You must be at least 18 years old to accept these terms.

If the installer and the vehicle owner are different people, the installer is responsible for making sure the vehicle owner has reviewed and agreed to these terms before the vehicle is used, and both of you are bound by them.

We may update these terms from time to time. The version in effect at the time of your purchase applies to you, unless we notify you of a change that applies retroactively.

If you sell the product or the vehicle it's installed in, tell the buyer about these terms, including the off-highway restriction and the license transfer terms in Section 5.

If any part of these terms is found unenforceable, the rest still applies. These terms and the product documentation are the entire agreement between us about the product.

12. Governing Law

These terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules.
